Item 5.05. Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics. On November 15, 2024, the Board of Directors of Flowers Foods, Inc. (the "Company") approved a new Code of Conduct (the "New Code"). The New Code combines the Company's prior Code of Business Conduct and Ethics with and into the Company's existing Code of Conduct, expands guidance with respect to the handling of actual or apparent conflicts of interest between personal and professional relationships, clarifies procedures with respect to internal reporting of violations of the New Code, and makes certain other technical and administrative amendments. The New Code applies to all officers, directors and employees of the Company and its subsidiaries and includes all topics covered by the Company's prior Code of Business Conduct and Ethics, including the information required by New York Stock Exchange listing standards and Item 406 of Regulation S-K. The foregoing description of the New Code is qualified in its entirety by the full text of the New Code, which has been posted on the Company's website at flowersfoods.com, in the "CORPORATE GOVERNANCE" section of the "INVESTORS" tab.
