Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Farmers & Merchants Bancorp announced today that Calvin ("Kelly") Suess, the Company's longest serving current member of the Board of Directors, has tendered his resignation effective at the next Board of Directors Meeting to be held on January 14, 2025 after having served on the board for 35 years. As part of normal succession planning and preparation, the Board's nominating committee is in the final stages of appointing a new member to the Board of Directors and expects to make an announcement before the end of January 2025. The new board member will then be up for a shareholder approval vote at the 2025 annual shareholders meeting.
