Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On February 11, 2025, the Board of Directors (the "Board") of Farmers & Merchants Bancorp, a Delaware corporation (the "Company," "we" or "us"), approved amendments to the Amended By-laws of the Company (the "Bylaws"), effective February 11, 2025, that permit the Company to issue uncertificated securities. Sections 7.5 and 7.6 of the Company's Bylaws were amended in order for the shares of Company stock to be eligible to participate in a Direct Registration System (DRS), which requires that the Company's stock be permitted to be issued in uncertificated form, and to make certain additional conforming changes. The following is a summary of the amendments to the Bylaws, which are stated in their entirety in Exhibit 3.1 to this Current Report on Form 8-K. Amended Section 7.5 of the Bylaws to read as follows: "Section 7.5 CERTIFICATE FOR SHARES; UNCERTIFICATED SHARES. The shares of the Corporation shall be represented by certificates, provided that the Board of Directors of the Corporation may provide by resolution or resolutions that some or all of any or all classes or series of its stock shall be uncertificated shares. Any such resolutions shall not apply to shares represented by a certificate until such certificate is surrendered to the Corporation. Every holder of stock represented by certificates shall be entitled to have a certificate signed by, or in the name of, the Corporation by any two authorized officers of the Corporation representing the number of shares registered in certificate form. Any or all the signatures on the certificate may be a facsimile. In case any officer, transfer agent or registrar who has signed or whose facsimile signature has been placed upon a certificate shall have ceased to be such officer, transfer agent or registrar before such certificate is issued, it may be issued by the Corporation with the same effect as if such person were such officer, t
