Item 4.01. Changes in Registrant's Certifying Accountant. On January 16, 2024 (the "Notice Date"), Baker Newman & Noyes LLC ("BNN") notified First Seacoast Bancorp, Inc. (the "Company") that BNN declines to stand for re-appointment as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2024, due to BNN's decision to exit its audit practice for Securities and Exchange Commission ("SEC")-registered banking institutions. BNN will complete the audit of the Company's consolidated financial statements for the fiscal year ended December 31, 2023. BNN's engagement will terminate once the Company successfully engages a new independent registered public accounting firm and until then BNN will remain available to perform quarterly review services on the Company's unaudited consolidated financial statements to be included in the Company's Quarterly Reports on Form 10-Q for fiscal 2024. BNN's audit report on the Company's consolidated financial statements for each of the past two fiscal years ended December 31, 2022 and December 31, 2021 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principles. During the Company's two most recent fiscal years ended December 31, 2023 and December 31, 2022 and the subsequent interim period from January 1, 2024 through the Notice Date: (i) there were no disagreements with BNN on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure which, if not resolved to BNN's satisfaction, would have caused BNN to make reference to the subject matter of the disagreement in connection with its report, and (ii) there were no "reportable events" as defined in Item 304(a)(1)(v) of SEC Regulation S-K.
