Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. (d) On November 5, 2024, the Board of Directors of Hyliion Holdings Corp. (the "Company")authorized the Company to voluntarily withdraw the principal listing of the Company's common stock, par value $0.0001 per share (the "Common Stock") from the New York Stock Exchange ("NYSE") and transfer the Company's common stock listing to the NYSE American stock exchange. The Company expects that listing and trading of its common stock on NYSE will end at market close on November 8, 2024, and that trading will begin on NYSE American at market open on November 11, 2024. The Common Stock has been approved for listing on NYSE American, where it will continue to trade under the stock symbol "HYLN."
