(the "Company") approved amendments to the Amended and Restated Bylaws (the "Bylaws") of the Company, effective on such date. The amendments to the Bylaws provide that, beginning on November 1, 2024, shares of the Company's capital stock shall be issued solely in uncertificated form; however, shares represented by a certificate issued prior to November 1, 2024 shall remain in certificated form until such certificate is surrendered to the Company.
