01 Regulation FD Disclosure
Item 7.01 Regulation FD Disclosure. The Board of Directors of Phillips Edison & Company, Inc. (the "Company") approved distributions for March and April 2024 to its stockholders of record at the close of business on March 15, 2024 and April 15, 2024, respectively, equal to a monthly amount of $0.0975 per share. The Company's March and April 2024 distributions are expected to be made on or around April 1, 2024 and May 1, 2024, respectively. Operating partnership unit holders receive distributions at the same rate as common stockholders, subject to the required tax withholding. On February 21, 2024 , the Company issued a press release announcing the declaration of the March and April 2024 distributions. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The information in this Current Report on Form 8-K, including Exhibit 99.1, is being furnished to the Securities and Exchange Commission ("SEC"), and shall not be deemed to be "filed" with the SEC for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section and shall not be deemed to be incorporated by reference into any other filing with the SEC except as expressly set forth by specific reference in such filing.
