01 Regulation FD Disclosure
Item 7.01 Regulation FD Disclosure. The Board of Directors of Phillips Edison & Company, Inc. (the "Company") approved distributions for September and October 2024 to its stockholders of record as of September 16, 2024 and October 15, 2024, respectively, equal to a monthly amount of $0.1025 per share. The Company's September and October 2024 distributions are expected to be paid on October 1, 2024 and November 1, 2024, respectively. Operating partnership unit holders receive distributions at the same rate as common stockholders, subject to the required tax withholding. On September 3, 2024 , the Company issued a press release announcing an increase in the monthly distribution and the declaration of the September and October 2024 distributions. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The information in this Current Report on Form 8-K, including Exhibit 99.1, is being furnished to the Securities and Exchange Commission ("SEC"), and shall not be deemed to be "filed" with the SEC for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section and shall not be deemed to be incorporated by reference into any other filing with the SEC except as expressly set forth by specific reference in such filing.
