01 Regulation FD Disclosure
Item 7.01 Regulation FD Disclosure. The Board of Directors of Phillips Edison & Company, Inc. (the "Company") approved distributions for November and December 2024, as well as January and February 2025, to its stockholders of record as of November 15, 2024, December 16, 2024, January 15, 2025, and February 18, 2025, respectively, equal to a monthly amount of $0.1025 per share. The Company's November and December 2024 and January and February 2025 distributions are expected to be paid on December 3, 2024, January 3, 2025, February 4, 2025, and March 4, 2025, respectively. Operating partnership unit holders receive distributions at the same rate as common stockholders, subject to the required tax withholding. On October 30, 2024 , the Company issued a press release announcing the declaration of the November and December 2024 and January and February 2025 distributions. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The information in this Current Report on Form 8-K, including Exhibit 99.1, is being furnished to the Securities and Exchange Commission ("SEC"), and shall not be deemed to be "filed" with the SEC for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section and shall not be deemed to be incorporated by reference into any other filing with the SEC except as expressly set forth by specific reference in such filing.
