Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers On January 22, 2024, upon the recommendation of the Governance, Nominating and Sustainability Committee, the Board of Directors (the "Board") of Public Service Enterprise Group Incorporated (the "Company") elected Ricardo G. Prez to serve as a new director effective January 22, 2024. The Board has determined that Mr. Prez is an independent director within the meaning of the listing standards of the New York Stock Exchange and the Securities Exchange Act of 1934, as amended. As of the time of the filing of this Current Report on Form 8-K, the Board has not determined the committees to which Mr. Prez will be appointed. As of the date of election to the Board, Mr. Prez will participate in the Company's compensation plans for non-management directors, as described under "Proposal 1: Election of Directors—Director Compensation" in the Company's proxy statement filed with the Securities and Exchange Commission on March 9, 2023 and incorporated by reference herein. No arrangement or understanding exists between Mr. Prez and any other person pursuant to which Mr. Prez was selected as a director of the Company. There are no transactions between the Company and Mr. Prez that would require disclosure under Item 404(a) of Regulation S-K. The Company issued a press release dated January 24, 2024 announcing the election of Mr. Prez. A copy of the press release is attached hereto as Exhibit 99 and is incorporated herein by reference.
