01. Other Events

Item 8.01. Other Events. On December 5, 2025, Pagaya Technologies Ltd. (the "Company") expects to file a registration statement on Form S-3SAR and corresponding prospectus (the "Registration Statement"). The Company is not offering or selling any securities under the Registration Statement. The Registration Statement is being filed upon the expiration of the Company's prior registration statement on Form F-3 (File No. 333-266228) solely to satisfy the Company's existing obligations under a Registration Rights Agreement (as defined in the Registration Statement) and to register Class A Ordinary Shares, no par value, that may be issued by us upon exercise of the Company's outstanding warrants, which were issued at the time that the Company went public in 2022. Further, the Company is filing this Current Report on Form 8-K (this "Form 8-K"), including Exhibit 99.1, to present certain financial information and related disclosures included in the Company's Annual Report on Form 10-K for the fiscal year ended December 31, 2024 originally filed with the U.S. Securities and Exchange Commission (the "SEC") on March 12, 2025 (the "2024 Form 10-K") to provide retrospective presentation of our unclassified balance sheet for the years ended December 31, 2024 and 2023 reflected in the 2024 Form 10-K. The updated financial information is attached as Exhibit 99.1 to this Current Report on Form 8-K, which the Company intends to incorporate by reference into a registration statement on Form S-3SAR expected to be filed by the Company on December 5, 2025. The revised consolidated financial statements as of December 31, 2024 and 2023 and for each of the three years ended December 31, 2024 are presented in Exhibit 99.1 to this Form 8-K, which is incorporated herein by reference.
