(Nevada) ("RAKR") entered into a series of agreements to restructure the Company's balance sheet to convert short term payables into convertible promissory notes and long-term loans to relieve the Company from short term cash needs. This was executed in anticipation of closing upcoming transactions and to facilitate future financing. The convertible notes are based on the 30-day VWAP ending January 5 th . The discount to VWAP is based on precedent of previous transactions at 30%. The long-term note is at an interest rate of less than those of third parties at 10%.
