Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 15, 2024, Gregory M. Share informed the Board of Directors (the "Board") of Runway Growth Finance Corp., a Maryland corporation (the "Company"), of his intent to resign as a director of the Company. In connection with the Stockholder Agreement between the Company and OCM Growth Holdings, LLC ("OCM"), dated December 15, 2016, OCM intends to submit a replacement nominee or nominees for consideration by the Board, and anticipates that any such nominee would not be an "interested person" (as such term is defined in Section 2(a)(19) of the Investment Company Act of 1940, as amended) of the Company, its investment adviser, or OCM. Mr. Share's decision was not due to any disagreements with the Company relating to the Company's operations, policies or practices.
