01. Regulation FD Disclosure
Item 7.01. Regulation FD Disclosure On October 21, 2024, StoneX Group Inc., a Delaware corporation (the "Company"), issued an announcement, pursuant to the United Kingdom City Code on Takeovers and Mergers (the "Code"), directing the attention of its stockholders to the stockholders' disclosure obligations under Rule 8 of the Code arising from an announcement by CAB Payments Holdings plc ("CAB Payments") on October 10, 2024, that it had received an unsolicited non-binding proposal from the Company relating to a possible offer for the entire issued and to be issued share capital of CAB Payments (the "Transaction"). On November 7, 2024, the Company issued an announcement (the "Announcement") that it is no longer pursuing the Transaction and does not intend to make any offer to acquire CAB Payments. A copy of the Announcement is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 7.01.
