(b) On February 28, 2024, Robert Schaefer, President, Behind the Meter Division, of Stem, Inc. (the "Company") notified the Company of his decision to retire, effective as of May 3, 2024. (e) In connection with Mr. Schaefer's retirement from the Company, it is expected that he and the Company will enter into a separation agreement and a consulting agreement at a later date. In connection with the execution of such agreements, the Company will file an amendment to this Report.
