Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 12, 2024, the Company entered into an employment separation and release agreement (the " Separation Agreement ") with Laura Janney. Pursuant to the Separation Agreement, Ms. Janney will be entitled to a separation payment in the amount of $100,000, subject to Ms. Janney's execution and non-revocation of the Separation Agreement, and her continued compliance with the terms of the Separation Agreement.
