06 Material Impairments
Item 2.06 Material Impairments. On October 21, 2025, the Audit Committee of the Board of Directors of Universal Logistics Holdings, Inc. (the "Company") concluded that the Company will record a material non-cash impairment charge related to certain intangible assets associated with the Company's intermodal segment in connection with the preparation of its financial statements for the third quarter ended September 27, 2025. The Company is currently in the process of finalizing the calculation of the estimated amount or range of this impairment charge, and such estimate is not yet available. The Company will file an amendment to this Current Report on Form 8-K once the estimate of the impairment charge is determined.

Item 7.01 Regulation FD Disclosure. The Company also announced that it has postponed the release of its financial results for the third quarter ended September 27, 2025, which was previously scheduled for October 23, 2025. The delay is to allow additional time to complete certain financial reporting procedures related to the calculation of the impairment charge described above. The Company also announced that it is postponing the investor conference call originally scheduled for October 24, 2025 at 10:00 a.m. ET. The Company will announce a new date and time for the issuance of its earnings release and conference call once the financial reporting process is complete.
