01 Other Events
Item 8.01 Other Events. On December 23, 2025, Upexi, Inc. (the "Company") issued a press release announcing that the Company had filed a shelf registration statement on Form S-3 on December 22, 2025 with the U.S. Securities and Exchange Commission. Additionally, the Company announced its plans to terminate its existing equity line of credit once the S-3 is effective. The equity line of credit has been unused to date. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
