Item 1.02 Termination of a Material Definitive Agreement. On November 18, 2024, FirstSun Capital Bancorp ("FirstSun"), Dynamis Subsidiary, Inc. ("Merger Sub") and HomeStreet, Inc. ("HomeStreet") agreed to terminate their previously announced merger agreement, originally announced on January 16, 2024, and amended on April 30, 2024 (as amended, the "Merger Agreement"), pursuant to a mutual termination agreement (the "Mutual Termination Agreement"). The foregoing description of the Merger Agreement and the Mutual Termination Agreement do not purport to be complete and are qualified in their entirety by reference to the full text of the Merger Agreement, which was previously filed as Exhibit 2.1 to FirstSun's Current Report on Form 8-K on January 19, 2024, and Exhibit 2.1 to FirstSun's Current Report on Form 8-K on April 30, 2024, and the full text of the Mutual Termination Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
